05 Enquiries & Proposals

Any proposal, quote, or estimate we provide is:
- Valid for 30 days from the date of issue, unless stated otherwise.

06 Intellectual Property
Website content
All content on this Website — including text, graphics, logos, icons, images, and software — is the property of Adigiit or our content suppliers and is protected by UK and international copyright law. You may not reproduce, distribute, or transmit any content without our prior written consent.
Deliverables from Services
Intellectual property rights in Deliverables produced under a project engagement will be set out in the relevant Engagement Agreement. Unless otherwise agreed in writing:
- All Deliverables remain the property of Adigiit until full payment has been received.
- Upon receipt of full payment, Adigiit assigns to the Client all intellectual property rights in the bespoke Deliverables created specifically for that project.
- Adigiit retains ownership of all pre-existing code, frameworks, tools, libraries, and know-how ("Background IP") used in producing Deliverables. Clients receive a perpetual, royalty-free licence to use Background IP as incorporated into their Deliverables.
- Open-source components used in Deliverables remain subject to their respective licences.
07 Confidentiality
We treat all information shared with us during enquiries and project engagements with discretion. We will not disclose confidential information about your business, project, or technical requirements to third parties without your consent, except:
- To our engineering team members who need it to deliver the Services.
- Where required by law or a regulatory authority.
- Where the information is or becomes publicly available through no fault of ours.
If you require a formal Non-Disclosure Agreement (NDA) before sharing technical or commercially sensitive details, we are happy to sign one. Please request this before your first technical conversation.
Clients are similarly asked to keep any proprietary methodologies, pricing structures, or internal processes disclosed by Adigiit confidential.
08 Limitation of Liability
Nothing in these terms limits or excludes Adigiit's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to the above, and to the fullest extent permitted by law:
- Adigiit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business opportunities arising from your use of this Website or our Services.
- Our total aggregate liability to you for any claim arising in connection with these terms or the Services shall not exceed the total fees paid by you to Adigiit in the 12 months preceding the event giving rise to the claim.
- We are not responsible for any losses arising from your use of third-party services, APIs, platforms, or integrations recommended or implemented as part of a project.
Specific liability terms applicable to your project engagement will be set out in the Engagement Agreement and may differ from the general limits above.

You agree to indemnify, defend, and hold harmless Adigiit, its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from:
- Your use of this Website in breach of these terms.
